Terms & Conditions
These terms describe how we quote, take orders and handle delivery and claims. Where a specific order differs, the terms stated on the proforma invoice and the sales contract for that order take precedence over this page.
- Quotations in writing
- Binding terms per order
- Claims within 7 days of arrival
1. Quotations and pricing
Quotations are issued in writing, in US dollars unless agreed otherwise, and state the trade terms, the models, the quantities and the packaging included. A quotation is an offer to supply on the terms stated in it and is valid for the period written on the document; if no period is stated, prices are subject to confirmation at the time of order because material and freight costs move.
Prices do not include duties, taxes or destination charges unless the quotation states that they do. Where a quotation is issued on FOB terms, freight, insurance and destination costs are for the buyer's account.
2. Orders and proforma invoice
An order becomes binding when we issue a proforma invoice and you confirm it in writing. The proforma invoice records the agreed specification, quantities, unit prices, trade terms, payment schedule, delivery window and packaging. Please check it carefully — production is run against the proforma invoice and the approved sample, not against earlier correspondence.
Samples, drawings, colour references and technical specifications approved by you become the reference standard for production.
3. Payment
The payment schedule is stated on the proforma invoice and normally combines a deposit with the balance settled before shipment. Payment is made by bank transfer to the account shown on the proforma invoice we issue. We do not ask buyers to pay to account details quoted only in an email thread; if you receive such a request, contact us on the numbers published on our Contact page before acting on it.
Production capacity is reserved once the deposit is confirmed. Delays in a deposit payment shift the delivery window accordingly.
4. Lead times and delivery
Production lead times are confirmed in the order acknowledgement and run from the date the deposit is received, not from the date of enquiry. Quoted lead times are production times and do not include sampling, inspection or freight transit, which are quoted separately where relevant.
Delivery is made on the trade terms stated in the proforma invoice. Where we book freight on your behalf, we book it as your agent and the carrier's terms of carriage apply to the transit itself.
5. Inspection and claims
Every order is subject to in-line checks during production and a pre-shipment inspection before loading. A third-party inspection can be arranged at your request and cost.
Claims for shortage or transit damage must be notified to us in writing, with photographs, within 7 days of arrival of the goods, referencing the packing list. Claims made after that period cannot be verified against the loading records and may not be accepted. Where an item was loaded but is missing on arrival, we investigate with the carrier; where it was not loaded, we produce and ship it.
6. Custom and private-label work (OEM / ODM)
For custom orders, the approved sample and the written specification define the goods. Tolerances that are normal in upholstery, welding, wood grain and stone are not defects and are described where relevant before production.
You are responsible for ensuring that any logo, artwork, label or design you supply does not infringe a third party's rights, and you grant us permission to use it solely to produce your order. Your drawings and brand files are treated as confidential and are not shared with other buyers.
7. Warranty and spare parts
Goods are supplied free from defects in materials and workmanship at the time of shipment. Where an item fails because of a manufacturing defect, we supply a replacement part or unit. Consumable wear, misuse, abnormal loading, and damage caused by unsuitable cleaning or by the venue environment are outside this.
Spare parts remain available after delivery so that a single damaged chair does not require replacing a set. Contact us with the model and the component.
8. Liability
Our liability in relation to any order is limited to the value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit or business interruption. Nothing on this page limits liability that cannot be limited under applicable law.
9. Governing terms
These terms and any order placed with us are governed by the laws of the People's Republic of China. Disputes are to be resolved through good-faith discussion in the first instance, and otherwise through arbitration or the courts as stated on the sales contract for the order.
10. Changes and contact
We may update this page as our process changes; the version that applies to an order is the one published when the order was placed. Questions about a specific order should go to your usual contact, or to gdtokinsale@gmail.com.
Note: this page explains our standard practice. The binding terms for any specific order are those stated on the proforma invoice and the sales contract signed for that order, which take precedence where they differ.
Need a term clarified before you order?
Ask before you commit, not after. We would rather put the answer in writing now than argue about it later.
